ADVISOR PROGRAM – TERMS AND CONDITIONS

Pay.com.au Limited ACN 639 316 546 (Pay.com.au, we, our or us) provides the Advisor Program in accordance with these terms and conditions (Advisor Program or these Terms). The Platform Terms and PayRewards Terms also apply to your use of the Platform or access to the PayRewards Program.

Any capitalised terms in these Terms not defined carry the same definition as set out in the Platform Terms and Conditions and/or the PayRewards Terms and Conditions (as applicable).

By providing:

• agreeing to participate in the Advisor Program; or
• your Advisor Referral Identifier to any third-party,

you agree to be bound by and agree to these Terms.

If you do not agree to these Terms, you must not supply your Advisor Referral Identifier to any third-party or otherwise participate in the Advisor Program.

 

DEFINITIONS

In these Terms, unless the context requires otherwise:

Approved Pay Brand Elements means any trademarks, name, logos, images or other marketing collateral provided or published by us from time to time where expressly identified as Approved Pay Brand Elements under these terms, and excluding any other trademarks, names, logos, images or other marketing material owned or created by us, even if relating to the Advisor Program.

Advisor Program means the program offering benefits to Eligible Advisors as set out on these Terms.

Advisor Referral Identifier means the unique code and/or referral link provided by pay.com.au to you for the purposes of making referrals under these terms and conditions.

Successful Referral means a Potential Referral which meets the Successful Referral criteria set out in these Terms.

Potential Referral means a person which you intend to refer, and meets the requirements, under these Terms.

Bonus PayRewards Points means the bonus PayRewards Points due to you for a Successful Referral, a certain number of Successful Referrals or for Successful Referrals which meet certain other terms and conditions, as set at app.pay.com.au/refer from time to time.

Advisor Program Page means the page on our website available at here (as updated from time to time).

 

ADVISOR ELIGIBILITY

1. Access to the Advisor Program is subject to Pay.com.au’s sole discretion and access is by invitation only. Our approval of any participant is solely for our own purposes, and you may not rely on it for any purpose.
2. com.au reserves the right, in its discretion, to (i) withdraw your access to the Advisor Program and (ii) withdraw consent for any of your activities in relation to the Advisor Program, at any time.
3. To be eligible to participate in the Advisor Program you must:;
   • have an existing pay.com.au account that is not suspended or otherwise in default;
   • meet the eligibility requirements set out on the Advisor Program Page (unless otherwise approved by us); and
   • be invited to participate by pay.com.au.

(Eligible Advisor).

ADVISOR REFERRALS

4. After approval to participate in the Advisor Program, you will be provided with an Advisor Referral Identifier. You may only share your Advisor Referral Identifier with Potential Referrals.
5. Any Potential Referral must:
   • have an existing business relationship with you;
   • be eligible to open a Pay.com.au Account in accordance with the Platform Terms and Conditions; and
   • be a new customers of pay.com.au, meaning they have not previously held a user account with pay.com.au.
6. Each Potential Referral will be subject to standard account opening criteria and process, and any access to the Platform or use of our Services will be governed by the Platform Terms and PayRewards Terms as applicable, which may be updated from time to time in our sole discretion.
7. A Successful Referral is a Potential Referral that:
   • is approved for and opens a fully verified pay.com.au account (Pay.com.au Account) using your Advisor Referral Identifier;
   • makes a total of AU$10,000 or more of Eligible Payments via the Platform within 30 days of being fully verified; and
   • meets any other eligibility requirements as may apply from time to time, in accordance with the details as set out on app.pay.com.au/refer.
8. If any restrictions, conditions or account suspensions apply to the operation of your Pay.com.au Account or the Pay.com.au Account of the referral, the referral will not qualify as a Successful Referral until any such restrictions, conditions, or suspensions have been removed.
9. The amount of Bonus PayRewards Points that both You and (if applicable) your Successful Referral will receive (including any milestone or tiered bonuses) will be in accordance with the referral bonus rates applicable at the time a Potential Referral registers with your Advisor Referral Identifier, which can be found at app.pay.com.au/refer.
10. We reserve the right to change, alter (including reduce or increase) Bonus PayRewards Points or eligibility requirements for a Successful Referral at any time save that in the case of any reduction in Bonus PayRewards Points, which have not be specified as applying for a specified or limited time period, any reduction will apply to Successful Referrals from seven (7) days after we have published the change.
11. We do not guarantee any benefit will be received by a Successful Referral and this will be determine by us in our discretion from time to time.
12. If the referral qualifies as a Successful Referral, we will allocate the Bonus PayRewards Points to both you and (if applicable) the referral within 30 days of qualification.
13. In respect of Bonus PayRewards Points for a single Successful Referral, you will only be eligible to receive the Bonus PayRewards Points once per Successful Referral (duplicate accounts will not qualify); however, the number of referrals you can make is not capped. In respect of Bonus PayRewards Points on other conditions, any caps or limits will be set out pay.com.au/refer or the Advisor Program Page.

ADVISOR REFERRER PRIZE DRAW

14. From time to time, we may operate a prize draw based on certain meet certain entry conditions for participants in the Advisor Program. We do not provide any guarantees in respect of the availability of any future prize draw.
15. Current or future prize draws, and any applicable terms and conditions, will be set out on the Advisor Program Page.
16. By participating in the program during the period of any prize draw, you agree to be entered into any applicable prize draw (if entry conditions are met) and to be bound by the applicable terms and conditions. If you do not wish to participate in any active prize draw, please contact us to opt-out.

DIRECTORY

17. From time to time, we may make an directory available via our Website or Platform. We do not make any warranties or guarantees in respect of the accuracy of the information available via the advisor directory and do not make any guarantees that the advisor director will be available at all times.
18. Inclusion in the advisor directory is subject to:

• you meeting the eligibility requirements for participating in the Advisor Program set out in these Terms;
• you being an active participant in the Advisor Program;
• you being either a Chartered Accountant, Certified Practising Accountant, or a Registered Tax Agent or Registered BAS Agent;
• providing information or content as requested by us from time to time (Advisor-Supplied Directory Content); and
• invitation by us (determined in our sole discretion).

19. We retain sole discretion in addition or removing any entries from the advisor directory and may remove your inclusion as any time in our sole discretion without providing notice to you or being required to provide reasons.
20. If you provide Advisor-Supplied Director Content to us:

• you consent to this information or content being displayed publicly online via the advisory directory, including to the extent that such information contains personal information;
• you warrant that the information supplied is correct and will provide us with immediate notice in the event of any changes; and
• you warrant that you hold all rights in the Advisor-Supplied Director Content and our use, in accordance with these terms, will not infringe the rights of any third-party or otherwise be contrary to law.

BRANDING LICENSE

 

21. We grant you a limited, revocable, non-transferable, non-exclusive, non-sublicensable, royalty-free licence during your participation in the Advisor Program to use and display the Approved Pay Brand Elements in accordance with any brand guidelines provided by us from time to time and updated by us from time to time in our sole discretion, solely for the purposes of communicating your participation in the Advisor Program.
22. Except as expressly licensed under these Term, any and all rights in the Pay Brand Elements are retained by us.
23. We can terminate the licence above at any time in our sole discretion.

 

ADVISOR OBLIGATIONS, WARRANTIES AND INDEMNITY

24. You must disclose the following to any Potential Referral:

• you are member of the Advisor Program; and
• you may receive a benefit as a result of any Potential Referral signing up to pay.com.au.

25. You must not:

• provide or publish any information, or make any representation about the Platform or us to any person, other than by:
  1. informing them that pay.com.au offers the pay.com.au platform and PayRewards program; and
  2. sharing the unique link provided to you by Pay.com.au,
• provide general or personal financial advice to any Potential Referral in relation to pay.com.au or its services, unless you are independently licensed to do so;
• attempt to refer any person to Pay.com.au for the purposes of the Promotion if that person does not meet the Potential Referral criteria set out in these Terms or has made you aware that they do not wish to participate;
• represent to any person that you are an agent or representative of pay.com.au or otherwise misrepresent your relationship with pay.com.au;
• represent (even if by implication) to any person that pay.com.au endorses you or your business or the services offered thereof;
• represent any material, content or views expressed by you (in relation to the pay.com.au platform or otherwise) are the views of, or endorsed by, Pay.com.au; or
• represent that any Potential Referral must sign-up to Pay.com.au as a condition of receiving services from you;
• represent to any person that a referral under this Promotion is required in order to apply for a Pay.com.au Account.

26. You warrant that:

• any activities that you undertake in respect of referring Potential Referrals or otherwise participating in the Advisor Program, shall be performed in strict compliance with these Terms and any and all applicable laws, regulations and guidelines (including without limitation, the Competition and Consumer Act 2010 (Cth), Corporations Act 2001 (Cth), Spam Act 2003 (Cth), Do Not Call Register Act 2006 (Cth) and Privacy Act 1988 (Cth)) and you acknowledge that you are solely responsible for ensuring your compliance with all applicable laws; and
• you will disclose your participation in the Advisor Program to Potential Referrals if required by law or any licensing or regulatory body, rules or guidelines and you acknowledge that it is your sole responsibility to ascertain your obligations under this clause – you will indemnify and hold harmless pay.com.au against any liability arising from your failure or lack of proper disclosure to any Potential Referral or other third-party.

27. If we (i) withdraw consent for your participation in the Advisor Program or for any of your activities in relation the Advisor Program or (ii) cancel or withdraw the Advisor Program, you will immediately cease all activities in relation the Advisor Program, including ceasing to share the Advisor Referral Identifier with any third-party and take down any and all marketing materials or other online content relating to the Advisor Program.

 

GENERAL

28. No additional benefit/cancellation of Bonus PayRewards Points: We will not provide any payment or reward of any type in connection with the Promotion unless specifically set out in these Terms. We may without notice, you consent to us, cancel any PayRewards Points allocated under these Terms but as a result of, or related to (i) a breach of these Terms, (ii) other fraudulent, misleading or unlawful behaviour by you or a Potential Referral, (iii) were allocated in error.
29. Tax liability: You are responsible for your own tax liabilities in respect of any Bonus PayRewards Points or any other benefit received under these Terms.
30. com.au arbiter of these terms: We are the sole arbiter of the Promotion and these Terms. Any decisions about the application of these Terms are at the sole discretion of Pay.com.au, and our decision is final.
31. Changes to these Terms and any program benefits: To the extent permitted by law, we reserve the right to alter, amend or terminate the Promotion or any aspect of these Terms at any time by providing 5 days’ prior notice, either via the Platform, Website, email or other communication channel we deem appropriate. We may immediately terminate the Advisor Program or part thereof, if pay.com.au believes it may be subject to claims or liability as a result of the Advisor Program. Notwithstanding the foregoing, you acknowledge and agree that we may vary the benefits available to participants from time to time, without providing you with notice (save for publishing such changes on the Advisor Promotion Page), save that any changes to the Bonus PayRewards Points (being the primary consideration for your participation in the Advisor Program) will be made in accordance with clause 9 of these Terms.
32. End of, or cessation of participation in, Advisor Program: Upon termination of the Advisor Program or if you cease participating in the Advisor Program (including because we withdraw your right to participate), all of your rights under these Terms shall cease, and pay.com.au is released from any rights and obligations to you, save for the allocation of any Bonus PayRewards Points accrued but not yet allocated at the date of termination. Pay.com.au’s rights under these Terms will survive any cancellation or withdrawal of the Advisor Program, or termination of these Terms.
33. Limitation of liability: To the extent permitted by law, (a) under no circumstances will either party be liable under this Agreement for indirect, punitive, incidental, consequential, special or exemplary damages (or any loss of revenue or profit), even if the party has been advised of the possibility of such damages; and (b) in no event with pay.com.au’s aggregate cumulative liability for any claims arising out of or related to the Advisor Program or these Terms exceed AUD$500.00. Nothing in this clause limits any non-excludable rights under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law).
34. Indemnity: You will indemnify, hold harmless, and to the extent requested by Xero defend, Xero, its affiliates, and its and their officers, directors, employees, shareholders, sublicensees, agents, representatives, successors and assigns from and against any and all claims (including third-party claims), losses, liabilities, damages, expenses and costs (including reasonable attorneys’ fees and court costs) (“Claims”) arising out of or from your (a) violation of this Agreement; (b) infringement of any intellectual property or other proprietary right; or (c) violation of any applicable law in connection with your performance under this Agreement. In no event will your settle any claim without pay.com.au’s prior written approval.
35. Severability: If at any time all or any part of any provision of these Terms are or become illegal, invalid or unenforceable, such provision(s) shall not affect or impair the legality, validity or enforceability of the remainder of that provision or all other provisions of these Terms
36. Governing law: These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia and shall be subject to the exclusive jurisdiction of the Victorian courts.
